Nurse Agreement

This Nurse Agreement ("Agreement") governs your relationship with NurseMe as an independent contractor providing nursing services through the platform. By accepting this Agreement, you agree to perform services in accordance with this Agreement, NurseMe's policies, and applicable law.
1. Purpose and Relationship
You provide services as an independent contractor, not as an employee, partner, or agent of NurseMe.
Nothing in this Agreement guarantees any minimum number of assignments, hours, or earnings.
You remain free to accept or decline assignment offers, except as otherwise provided after accepting a specific assignment.
2. Eligibility and Credentials
You agree to:
- Maintain an active, unrestricted nursing license where services are provided.
- Maintain any certifications, credentials, or qualifications required by applicable law or NurseMe for accepted assignments.
- Provide accurate and complete application and credential information.
- Promptly notify NurseMe of any material change affecting your eligibility, including license restrictions, investigations, disciplinary actions, criminal charges, exclusions, or loss of required credentials.
3. Assignments
NurseMe may offer assignments based on client needs, availability, qualifications, location, and operational requirements.
Accepting an assignment creates a commitment to provide the agreed services as scheduled.
You may decline assignments before accepting them.
You may withdraw from an accepted assignment only for lawful, safety, or emergency reasons, or as otherwise approved by NurseMe.
You may not delegate or transfer an accepted assignment to another person.
4. Professional Practice
You are responsible for exercising independent clinical judgment while providing services.
You agree to:
- Practice within your lawful scope of practice.
- Perform only services you are qualified and competent to perform.
- Follow applicable laws, professional standards, care plans, and lawful provider instructions.
- Escalate emergencies or significant changes in a client's condition appropriately.
- Decline services that cannot be performed safely or lawfully.
5. Agency Policies and Supervision
NurseMe administers and clinically supervises services provided through the platform in accordance with applicable law.
You agree to comply with NurseMe's applicable policies, procedures, documentation requirements, orientation, training, and lawful instructions relating to accepted assignments.
You agree to cooperate with quality assurance activities, competency reviews, audits, investigations, and other regulatory or operational requirements.
6. Client Care and Professional Conduct
You agree to:
- Treat every client with dignity, respect, and professionalism.
- Provide services without unlawful discrimination, abuse, neglect, exploitation, coercion, or retaliation.
- Respect client privacy and property.
- Maintain appropriate professional boundaries.
- Never provide services while impaired.
- Promptly leave or report unsafe situations when necessary.
7. Documentation
You agree to complete required documentation accurately, truthfully, and promptly.
Documentation must reflect services actually provided.
You may not falsify, backdate, or intentionally alter records except through approved correction procedures.
All documentation created while providing NurseMe services belongs to NurseMe.
8. Privacy and Confidentiality
You must protect the confidentiality of client, NurseMe, and business information.
You may use information only as necessary to perform accepted assignments.
You must immediately report suspected privacy or security incidents.
These obligations continue after this Agreement ends.
9. Incidents and Reporting
You agree to promptly report incidents requiring NurseMe's attention, including:
- Client injuries.
- Medication errors.
- Unexpected changes in condition.
- Client complaints.
- Suspected abuse, neglect, or exploitation.
- Safety concerns.
- Other reportable events required by law or NurseMe policy.
You agree to cooperate with investigations and regulatory inquiries.
10. Compensation
Compensation for each assignment is displayed before you accept it.
Entering the client's PIN confirms your arrival for an assignment.
Payment is made after services are completed in accordance with NurseMe's policies.
If you cancel an accepted assignment other than for a reason described in Section 3, you will not be paid for that assignment.
If you do not enter the PIN for a completed assignment, NurseMe will resolve any question about whether the assignment was provided based on the information available, and you may not be paid.
If a client does not appear for a confirmed assignment, report it through the app before the end of the appointment window. Once NurseMe verifies the no-show, you will be paid your standard compensation for that assignment.
You are responsible for your own taxes and business expenses unless NurseMe expressly agrees otherwise.
11. Insurance and Responsibility
Unless required by applicable law or a specific assignment, NurseMe does not currently require you to maintain individual professional liability insurance.
Each party is responsible for its own acts, omissions, and legal obligations.
To the extent permitted by law, you agree to indemnify NurseMe for claims arising from your negligence, willful misconduct, unlawful conduct, breach of this Agreement, confidentiality violations, false credential information, or actions outside your lawful scope of practice.
Nothing in this Agreement requires you to indemnify NurseMe for NurseMe's own negligence, willful misconduct, or violations of law.
You agree to cooperate with claims, investigations, and legal proceedings relating to services you provide through NurseMe.
12. Equipment and Service Locations
You are responsible for providing your ordinary professional equipment, transportation, communication devices, and attire unless NurseMe states otherwise.
You agree to follow applicable infection-control and safety requirements.
13. Platform Use
Your NurseMe account is personal and may not be shared or transferred.
You agree not to interfere with the operation or security of the platform or manipulate bookings, documentation, payments, ratings, or other platform functions.
During an active booking and for twelve (12) months after its completion, you will not knowingly solicit a NurseMe client to obtain substantially similar services outside the NurseMe platform.
Nothing in this Agreement restricts your ability to practice nursing generally or provide services to clients you obtain independently of NurseMe.
14. Independent Contractor Status
Nothing in this Agreement creates an employment relationship.
You control whether to accept assignment offers and remain responsible for your own taxes and ordinary business expenses.
Nothing in this Agreement limits NurseMe's responsibility to administer and supervise services in accordance with applicable law or limits your obligation to comply with NurseMe's policies applicable to accepted assignments.
15. Suspension and Termination
Either party may terminate this Agreement at any time.
NurseMe may immediately suspend or terminate your account for safety concerns, credential issues, policy violations, documentation deficiencies, unlawful conduct, or other material violations of this Agreement.
Termination does not affect obligations relating to confidentiality, documentation, payments, cooperation with investigations, or liability arising before termination.
16. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
17. Changes
NurseMe may update this Agreement from time to time.
You must accept the current version before accepting additional assignments after a revision becomes effective.
18. Acknowledgements
By accepting this Agreement, you acknowledge that:
- The information you have provided is accurate and complete.
- You are legally authorized to practice nursing where you accept assignments.
- You understand your relationship with NurseMe is that of an independent contractor.
- You have reviewed NurseMe's applicable policies and procedures.
- You will comply with applicable laws, professional standards, and NurseMe requirements while performing accepted assignments.
- You understand that accepting an assignment creates a commitment to perform it as agreed.
- You understand that NurseMe administers and clinically supervises services in accordance with applicable law.
- You consent to sign this Agreement electronically.
This Agreement becomes effective when you electronically accept it.
